The GFP 2026 Summer Tenant Appreciation Giveaway (the “Giveaway”) is sponsored and operated by GFP Real Estate LLC, with a business address located at 515 Madison Avenue, 15th Floor, New York, NY 10022 (“Sponsor”). By entering the Giveaway, you agree to comply with and be bound by these GFP 2026 Summer Tenant Appreciation Giveaway Official Rules (the “Official Rules”). Please review the Official Rules carefully. If you do not agree to the terms and conditions of the Official Rules in their entirety, you are not permitted to enter the Giveaway.
The Giveaway is an initiative offered by Sponsor solely as an expression of appreciation to the individuals who work in Sponsor-managed buildings. The Giveaway is not connected in any way to the sale, lease, promotion, or advertising of any consumer product or service, and no purchase, lease, payment, or commercial transaction of any kind is required, solicited or implied for participation in the Giveaway. Participation confers no rights with respect to any tenancy, lease, or commercial relationship with Sponsor. The Giveaway is offered purely as a goodwill amenity for the benefit of building occupants.
NO PURCHASE NECESSARY TO PLAY OR WIN. PURCHASE WILL NOT INCREASE YOUR ODDS OF WINNING. The Giveaway is not conditioned upon, and Sponsor does not benefit from, any business relationship between the entrant’s employer and Sponsor. No aspect of any tenancy, lease agreement, or commercial arrangement with Sponsor is affected in any way by participation or non-participation in this Giveaway.
ELIGIBILITY:
The Giveaway is open only to individuals who: (a) are employed, in good standing, with a business entity that is a current tenant of a New York City-based participating Sponsor-managed property at the time of entry (“Participating Building”); (b) perform work in-person in a Participating Building; (c) are either citizens of the United States, are lawful permanent residents of the United States and/or are otherwise lawfully permitted to work in the United States; and (d) are eighteen (18) years of age or older and that can enter into legally binding contracts under applicable law. The Giveaway is expressly void where prohibited by law.
Employees, officers and directors of Sponsor, its advertising, promotional, fulfillment and marketing agencies, the Participating Buildings, any agents acting for or on behalf of the foregoing entities, their respective parents, subsidiaries and affiliated companies, and their immediate families (and those living in their respective households), are not eligible to participate or claim a Prize (as defined below) in the Giveaway. Participation constitutes each entrant’s full and unconditional agreement to Sponsor’s decisions, which are final and binding in all matters related to the Giveaway. Winning a Prize is contingent upon fulfilling all requirements set forth herein.
LIMITED TIME ONLY:
The Giveaway period (“Giveaway Period”) begins at 12:00:00 A.M. Eastern Daylight Time (“EDT”) on May 14, 2026, and ends at 11:00:00 P.M. EDT on September 2, 2026. Each Prize drawing has its own eligible entry window as described in the “Winner Selection” section below (each, a “Prize Entry Window”). Entries must be received prior to the expiration of the applicable Prize Entry Window to be eligible to win a Prize associated with that Prize Entry Window.
HOW TO ENTER:
(a) QR Code Entries. Prospective entrants wishing to enter the Giveaway must visit their Participating Building in person, scan the designated Giveaway QR code displayed in the building’s common area (“QR Code”), and complete the online entry form that is activated via the QR Code (the “Online Form”). In order to complete the Giveaway Online Form, each entrant must include the entrant’s: (i) full name; (ii) work e-mail address; (iii) name of current employer; (iv) address of Participating Building; (v) mobile telephone number; and (vi) any other information requested on the Giveaway entry form (collectively, “Form Registration Data”). Entrants who are potential Prize winners may be required to provide some or all of the following: (A) Social Security Number; (B) picture proof of identification, which may include a driver’s license, passport, voting card or similar government issued identification; (C) address of their Participating Buildings; and (D) any other information requested by Sponsor in connection with the Prize verification/award process (“Prize Winner Data,” and together with the Form Registration Data, the “Registration Data”). Upon successful completion of the Giveaway entry process, each individual shall receive one (1) entry in the Giveaway (each, an “Entry”).

(c) Entry Limits/General Provisions. Entrants must update their Registration Data, as necessary, to remain eligible to receive a Prize. You may submit one (1) Entry during each calendar day during the Giveaway Period. Any Entries submitted in excess of this limitation will be discarded. Multiple individuals are not permitted to share the same email address. Any attempt by any individual to submit more than the permitted number of Entries by using multiple/different e-mail addresses, mobile devices, identities, registrations, or any other method, will void all of that individual’s Entries and that individual will be disqualified from participating in the Giveaway. Without limiting the foregoing, any attempt by any individual to obtain Entries via any automated system (including bots, computer scripts, software-based methods, programmed methods, script, macro or other automated means) is prohibited and will result in disqualification. Sponsor reserves the right to reject any Entry that it believes, in its sole discretion, is fraudulent, incomplete or otherwise invalid. None of the Covered Parties (as defined below) are responsible for Entries, Giveaway-related e-mail, Giveaway-related push notifications, claims or notices that are lost, late, illegible, misdirected, damaged, incomplete or incorrect. By entering the Giveaway, and where you have otherwise provided the requisite consent, you agree to receive e-mail and direct mail marketing messages from Sponsor and its marketing partners, subject to the Sponsor Privacy Policy. IDENTIFICATION OF ENTRANTS:
Each Entry will be identified by the applicable entrant’s e-mail address, as collected and stored in the Giveaway Database. For purposes of these Official Rules, the “Giveaway Database” is defined as the entire list of valid Entries generated during the Giveaway Period. Sponsor will stop accepting Entries at 11:00:00 P.M. EDT on September 2, 2026. Any entries after this time will be discarded.
WINNER SELECTION:
All Prize drawings (“Winner Selection”) will be conducted by Sponsor or its designated promotion agency. For all Prizes other than the Cruise Prize (as defined below), each drawing will be held one (1) week prior to the relevant event associated with the Prize. The eligible Entry pool for each Prize drawing shall consist of all valid Entries received from two (2) weeks before that Prize drawing date up until the Prize drawing itself. For the Cruise Prize, the drawing will be held on July 9, 2026. The eligible Entry pool for the Cruise Prize drawing shall consist of all valid Entries received from 1:00 PM EDT May 14, 2026 through July 8, 2026 (the day before the Cruise Prize drawing). During the Prize Drawings, Sponsor or its designated promotion agency shall select: (a) twelve (12) potential winners for the Broadway Show Prize (as defined below); (b) twelve (12) potential winners for the US Open Tennis Prize (as defined below); (c) ten (10) potential winners for the Cruise Prize; (d) eight (8) potential winners for the Premier League Soccer Prize (as defined below); and (e) twelve (12) potential winners for each MetLife Stadium Concert Prize (as defined below). Limit one (1) Prize per household.
PRIZE WINNER VERIFICATION AND ELIGIBILITY:
The potential Prize winners shall be subject to eligibility verification. The potential Prize winners must comply with these Official Rules. Failure to do so may result in forfeiture of the Prize, in its entirety.
The potential Prize winners will be notified via e-mail within twenty-four (24) hours of Winner Selection. The Prize notification email will include a response deadline (“Response Deadline”) and a link to a Prize confirmation form (“Confirmation Form”). Each potential Prize winner must indicate their desire and availability to attend the applicable event associated with the Prize by and through the Confirmation Form (or in an email reply with answers to ALL mandatory questions).
The Confirmation form or reply email acts as an Affidavit for Eligibility and Liability/Publicity Release. The potential Prize winner will be required to provide Prize Winner Data and affirm the Affidavit of Eligibility and Liability/Publicity Release (“Affidavit”), as well as a liability, image and publicity release for the guests of the potential Prize winners by the Response Deadline. In addition, the potential Prize winner may be required to provide picture proof of identification, which may include a driver’s license, passport or similar government issued identification, and proof that she/he is the entrant that submitted the applicable winning Entry.
Non-compliance by a potential Prize winner within the time periods set forth above may result in forfeiture of the Prize, with an alternative potential Prize winner selected; provided, however, that Sponsor may extend any deadline in its sole and exclusive discretion. The return of a Prize notification or Affidavit request as undeliverable may result in forfeiture of the Prize. In no case shall Sponsor be liable in any manner where a potential Prize winner has not received notification sent from Sponsor or where Sponsor fails to receive a response from a potential Prize winner within the required response period. The winning Entry, as well as the associated information of the potential Prize winner, must identically match the records maintained by Sponsor in order for a Prize to be awarded. In the event of a dispute, the information maintained by Sponsor will govern. Entries will be deemed made by the person under whose e-mail address the Entry was submitted, regardless of who actually submitted the Entry.
PRIZE DESCRIPTIONS:
Broadway Show Prize
(a) Broadway Show Prize. The twelve (12) winners for each of the nine (9) productions associated with the Broadway Show Prize will each receive two (2) tickets to the applicable production (the “Production”) to be used by each Broadway Show Prize winner and one (1) guest (each, a “Broadway Show Prize”).
(b) Broadway Show Prize Approximate Retail Value. The approximate retail value (“ARV”) of each Broadway Show Prize is Six Hundred Dollars ($600.00), and the aggregate ARV for all Broadway Show Prizes is Sixty-Four Thousand Eight Hundred Dollars ($64,800.00). The Broadway Show Prize winners will not receive the difference between the actual Broadway Show Prize value and the Broadway Show Prize ARV.
(c) Broadway Show Prize Terms and Conditions. The specifics of the Broadway Show Prize shall be determined in the sole and exclusive discretion of Sponsor and the applicable venue associated with each Production. Each Broadway Show Prize winner and guest are solely responsible for obtaining transportation to and from the applicable Production. Incidentals, tips and any other personal expenses are the responsibility of the Broadway Show Prize winners and guests, as applicable. Some restrictions may apply.
US Open Tennis Prize
(a) US Open Tennis Prize. The twelve (12) winners of the US Open Tennis Prize will each receive: (i) two (2) tickets to the daytime matches played on August 30, 2026 at the 2026 US Open at Arthur Ashe Stadium (the “Event”) to be used by each US Open Prize winner and one (1) guest; and (ii) access to a luxury suite during the Event, with all associated amenities including selected food and beverage options (each, collectively, a “US Open Tennis Prize”).
(b) US Open Tennis Prize Approximate Retail Value. The ARV of each US Open Tennis Prize is Two Thousand Seven Hundred and Fifty Dollars ($2,750.00), and the aggregate ARV for all US Open Tennis Prizes is Thirty-Three Thousand Dollars ($33,000.00). The US Open Tennis Prize winners will not receive the difference between the actual US Open Tennis Prize value and the US Open Tennis Prize ARV.
(c) US Open Tennis Prize Terms and Conditions. The specifics of the US Open Tennis Prize shall be determined in the sole and exclusive discretion of Sponsor, as well as Arthur Ashe Stadium and the United States Tennis Association. Each US Open Tennis Prize winner and guest are solely responsible for obtaining transportation to and from the Event. Each US Open Tennis Prize winner and guest shall be solely responsible for meals and/or beverages beyond those included in the luxury suite at the Event. Incidentals, tips and any other personal expenses are the responsibility of the US Open Tennis Prize winners and guests, as applicable. Some restrictions may apply.
Cruise Prize
(a) Cruise Prize. The ten (10) winners of the Cruise Prize will each receive: (i) two (2) tickets, and one (1) double-occupancy cabin, aboard a Norwegian Cruise Lines voyage from New York, NY to Bermuda (the “Cruise”); and (ii) Norwegian Cruise Lines’ Free at Sea package, which provides each Cruise Prize winner and guest with: unlimited open bar beverages, specialty dining, and a wi-fi internet package, each as defined and made available by Norwegian Cruise Lines under its standard Free at Sea program terms at the time of departure, as well as pre-paid service charges/gratuities in addition to the Free at Sea package (each, collectively, a “Cruise Prize”).
(b) Cruise Prize Approximate Retail Value. The ARV of each Cruise Prize is Two Thousand Six Hundred Dollars ($2,600.00), and the aggregate ARV for all Cruise Prizes is Twenty-Six Thousand Dollars ($26,000.00). The Cruise Prize winners will not receive the difference between the actual Cruise Prize value and the Cruise Prize ARV.
(c) Cruise Prize Terms and Conditions. The specifics of the Cruise Prize shall be determined in the sole and exclusive discretion of Sponsor, as well as Norwegian Cruise Lines. Sponsor will determine (and, where applicable, book) the Cruise Prize travel dates, itinerary and accommodations in its sole and exclusive discretion. The Cruise Prizes are subject to availability on the date(s) selected by the Sponsor. The Cruise itinerary, ships, cabin categories and sailing dates are subject to change by Norwegian Cruise Lines. The Cruise Prize winners and travel companions must travel the same itinerary on the dates and/or times specified by Sponsor, or the Cruise Prize will be forfeited in its entirety. The Cruise Prize does NOT include, and Sponsor bears no responsibility or liability for, any of the following: (i) airfare, ground transportation, or travel to or from the departure port; (ii) shore excursions, activities, or entertainment not included in the Free at Sea package or standard cabin fare; (iii) travel or health insurance; (iv) meals or beverages beyond those included in the Free at Sea package or cruise fare; or (v) any personal expenses of any kind. Additional activities and features may, but will not necessarily, be made available to the Cruise Prize winners and guests for free. The guests selected by the Cruise Prize winners may consume alcohol only if they are at least twenty-one (21) years of age. Incidentals, tips, telephone calls and any other personal expenses are the responsibility of the Cruise Prize winners and guests, as applicable.
The Cruise Prize winners and their guests must each hold a valid passport (and any other required travel documentation if necessary) for entry into Bermuda and re-entry into the United States. Sponsor bears no liability for any Cruise Prize winner’s inability to travel due to lack of valid travel documentation, visa issues, or any government travel restriction. Sponsor strongly recommends that Cruise Prize winners obtain comprehensive travel and medical insurance prior to departure. Sponsor ‘s sole obligation is the cost of the cabin, Free at Sea Package, and pre-paid gratuities, as paid to Norwegian Cruise Lines and Sponsor shall have no further liability if Norwegian Cruise Lines modifies, cancels or discontinues the Cruise. All aspects of the Cruise experience are governed exclusively by the Norwegian Cruise Lines’ passenger contract and terms and conditions, a copy of which will be provided to the Cruise Prize winners upon Cruise Prize confirmation. By accepting the Cruise Prize, each Cruise Prize winner acknowledges that the Cruise involves maritime travel and accepts all associated risks, and agrees that Sponsor shall have no liability for, any injury (including death), illness, loss, damage, or other harm arising during or in connection with the Cruise.
Premier League Soccer Prize
(a) Premier League Soccer Prize . The eight (8) winners of the Premier League Soccer Prize will each receive two (2) tickets in Legends seating to the Premier League soccer match to be held on July 29, 2026, at Yankee Stadium (the “Match”) to be used by each Premier League Soccer Prize winner and one (1) guest (each, a “Premier League Soccer Prize ”).
(b) Premier League Soccer Prize Approximate Retail Value. The ARV of each Premier League Soccer Prize is One Thousand and Ten Dollars ($1,010.00), and the aggregate ARV for all Premier League Soccer Prize is Eight Thousand and Eighty Dollars ($8,080.00). The Premier League Soccer Prize winners will not receive the difference between the actual Premier League Soccer Prize value and the Premier League Soccer Prize ARV.
(c) Premier League Soccer Prize Terms and Conditions. The specifics of the Premier League Soccer Prize shall be determined in the sole and exclusive discretion of Sponsor, as well as Yankee Stadium and the sponsor of the Match. The Premier League Soccer Prize winners and guests are solely responsible for obtaining transportation to and from the Match. Incidentals, tips and any other personal expenses are the responsibility of each Premier League Soccer Prize winner and guest, as applicable. Some restrictions may apply.
MetLife Stadium Concert Prize
(a) MetLife Stadium Concert Prize. The twelve (12) winners for each of the ten (10) concerts associated with the MetLife Stadium Concert Prize will each receive two (2) tickets to the applicable production (the “Concert”) in the GFP Suite, to be used by each MetLife Stadium Concert Prize winner and one (1) guest (each, a “MetLife Stadium Concert Prize,” and together with the Broadway Show Prize, US Open Tennis Prize, Cruise Prize and Premier League Soccer Prize, the “Prizes”). The ten (10) Concerts included in the MetLife Stadium Concert Prize are as follows: BTS (8/1/26 and 8/2/26), Guns N’ Roses (8/12/26), Bruno Mars (8/21/26, 8/22/26, 8/25/26 and 8/26/26), Ed Sheeran (9/4/26 and 9/5/26) and AC/DC (9/2526).
(b) MetLife Stadium Concert Prize Approximate Retail Value. The ARV of each MetLife Stadium Concert Prize is One Thousand Eight Hundred Dollars ($1,800.00), and the aggregate ARV for all MetLife Stadium Concert Prizes is Two Hundred and Sixteen Thousand Dollars ($216,000.00). The MetLife Stadium Concert Prize winners will not receive the difference between the actual MetLife Stadium Concert Prize value and the MetLife Stadium Concert Prize ARV.
(c) MetLife Stadium Concert Prize Terms and Conditions. The specifics of the MetLife Stadium Concert Prize shall be determined in the sole and exclusive discretion of Sponsor and MetLife Stadium. The MetLife Stadium Concert Prize winners and guests are solely responsible for obtaining transportation to and from the applicable Concert. Incidentals, tips and any other personal expenses are the responsibility of the MetLife Stadium Concert Prize winners and guests, as applicable. Some restrictions may apply.
FORCE MAJEURE:
The Covered Parties are not responsible or liable to any entrant or potential Prize winner (or any person claiming through such entrant or potential Prize winner) for failure to supply the Prizes or any part thereof, by reason of any acts of God, any action, regulation, order or request by any governmental or quasi-governmental entity (whether or not the action, regulations, order or request proves to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, volcanic eruption, war (declared or undeclared), fire, flood, COVID-19 or any virus, disease and/or pandemic, as well as any private sector or governmental response thereto, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal) labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond the sole control of Sponsor (collectively, “Force Majeure Events”).
ODDS OF WINNING A PRIZE:
The odds of winning a Prize depend on the number of eligible Entries in the Giveaway Database for each Prize drawing. The odds of winning each Prize can be calculated by dividing the number of Entries that you have submitted for a specific Prize drawing by the total number of Entries in the Giveaway Database for the applicable Prize drawing.

For a thorough recital of the Sponsor Privacy Policy, please Click Here. To the extent that the Sponsor Privacy Policy is in conflict or inconsistent with these Official Rules as they pertain to the Giveaway, these Official Rules shall take precedence.
TAX INFORMATION:
Federal, state and local taxes, and all similar fees and assessments, are the responsibility of the Prize winners. Sponsor reserves the right to withhold taxes from any winning Prize, as appropriate. Where required by law, Sponsor will issue a form 1099-MISC for each Prize winner in the amount of the subject Prize.
NO SUBSTITUTION OF WINNERS:
The Prizes are non-transferable, and no substitution or transfer of any Prize will be accommodated or permitted other than as expressly set forth herein or in the sole discretion of Sponsor. Prizes are awarded as described herein. No cash substitution may be made by the entrant. Prizes may not be sold, bartered, or assigned to any unrelated third party. A Prize winner may transfer their Prize to an immediate family member only, defined for this purpose as the applicable Prize winner’s spouse or domestic partner, parent, sibling, or child (including stepchildren and adopted children). Prize winners must provide notice of any such transfer to Sponsor, in writing, prior to the applicable Prize-related event. Further, the original Prize winner shall remain liable for any federal, state and local taxes associated with the Prize, and the transferee must: (a) agree to be bound by these Official Rules, in their entirety; (b) agree that they may receive e-mail and direct mail marketing messages from Sponsor and its marketing partners, subject to the Sponsor Privacy Policy; (c) satisfy all applicable age and eligibility requirements for the Prize in question; and (d) execute the Affidavit of Eligibility and Liability Release required of Prize winners. Sponsor reserves the right, at its sole discretion, to offer a substitute Prize should a Prize event become unavailable. Any substitute Prize offered may be of lesser, equal, or greater value than the original Prize. There is no obligation to offer a substitute Prize and no obligation to match or exceed the value of the original Prize if a substitution is made. Where no substitute Prize is offered, Sponsor may, at its sole discretion, re-enter affected Prize winners in a future draw.
PUBLICITY:
Other than where otherwise prohibited by law, Giveaway entry constitutes permission for Sponsor to reproduce, display, perform, distribute and otherwise use each entrant’s name and/or likeness in connection with promoting Sponsor and/or its products, services, buildings and offerings in any and all forms of marketing and promotional material including, without limitation, email marketing, online ads, social media ads/announcements, as well as printed extracts and reproductions of any portion thereof.
RELEASE:
By entering the Giveaway, each entrant agrees to release and hold harmless Sponsor, its representatives, affiliates, subsidiaries, parents, agents, and their respective members, officers, directors, employees and agents (collectively, “Covered Parties”) from and against any and all liability for any injuries, loss or damage of any kind arising from, or in connection with, the Giveaway (including the Prizes, and all travel associated with attending the Events, Matches, Productions and/or Concerts, as applicable) including, but not limited to, liability arising from copyright infringement, improper use of likeness, personal injury, death, damages or monetary loss. Restrictions, conditions and limitations apply. By entering, each entrant further agrees that, in the event that there is any conflict or other inconsistency between the Official Rules and any advertisements, promotional or marketing materials, e-mails or announcements relevant to the Giveaway, these Official Rules will govern.
CHOICE OF LAW/DISPUTE RESOLUTION/CLASS ACTION:
These Official Rules shall be treated as though they were executed and performed in New York, New York and shall be governed by and construed in accordance with the laws of the State of New York (without regard to conflict of law principles) and any proceeding arising in connection with the Agreement may only be brought under the statutes and common law of the State of New York. The parties (and Covered Parties) hereby agree to arbitrate all claims that may arise under and/or relate to the Giveaway and/or these Official Rules. Without limiting the foregoing, should a dispute arise between the parties/any Covered Parties including, without limitation, any matter concerning the Giveaway, the Prizes, the terms and conditions of these Giveaway Rules or the breach of same by any party hereto: (a) the parties/Covered Parties agree to submit their dispute for resolution by arbitration before JAMS (“JAMS”) in New York, NY, in accordance with the then current General Arbitration Rules & Procedures of JAMS; provided, however, that Sponsor reserves the right to require that any and all claims be combined and conducted under the JAMS Mass Arbitration Procedures and Guidelines where there are seventy-five (75) or more arbitration demands pending against Sponsor and/or any Covered Party that are similar to the demand for arbitration submitted by you; and (b) you agree to first commence a formal dispute proceeding by completing and submitting an Initial Dispute Notice. The Covered Party(ies) named in your Initial Dispute Notice (collectively, the “Named Parties”) may choose to provide you with a final written settlement offer after receiving your Initial Dispute Notice (“Final Settlement Offer”). If the applicable Named Party(ies) provide(s) you with a Final Settlement Offer and you do not accept it, or such Named Party(ies) cannot otherwise satisfactorily resolve your dispute and you wish to proceed, you must submit your dispute for resolution by arbitration before JAMS, in your county of residence, by filing a separate Demand for Arbitration.
For claims of Ten Thousand Dollars ($10,000.00) or less, you can choose whether the arbitration proceeds in person, by telephone or based only on submissions. If the arbitrator awards you relief that is greater than the applicable Final Settlement Offer, then the Named Party(ies) will pay all filing, administration and arbitrator fees associated with the arbitration and, if you retained an attorney to represent you in connection with the arbitration, the Named Party(ies) will reimburse any reasonable attorneys’ fees that your attorney accrued for investigating, preparing and pursuing the claim in arbitration. Any award rendered shall be final and conclusive to the parties and a judgment thereon may be entered in any court of competent jurisdiction. Although the Named Party(ies) may have a right to an award of attorneys’ fees and expenses if Named Party(ies) prevail(s) in arbitration, the Named Party(ies) will not seek such an award from you unless the arbitrator determines that your claim was frivolous.
To the extent permitted by law, you agree that you will not bring, join or participate in any class action lawsuit as to any claim, dispute or controversy that you may have against any of the Covered Parties. You agree to the entry of injunctive relief to stop such a lawsuit or to remove you as a participant in the suit. You agree to pay the attorney’s fees and court costs that any Covered Party incurs in seeking such relief. This provision preventing you from bringing, joining or participating in class action lawsuits: (i) does not constitute a waiver of any of your rights or remedies to pursue a claim individually and not as a class action in binding arbitration as provided above; and (ii) is an independent agreement. You may opt-out of these dispute resolution provisions by providing written notice of your decision within thirty (30) days of the date that you first enter the Giveaway.
DISQUALIFICATION:
The Covered Parties are not responsible for lost, interrupted or unavailable network server or other connections, miscommunications, failed telephone or computer transmissions or technical failure, lost Entries, jumbled, scrambled or misdirected transmissions, or other error of any kind, whether human, mechanical or electronic. Persons found tampering with or abusing any aspect of the Giveaway, as solely determined by Sponsor, will be disqualified. If disqualified for any of the above reasons, Sponsor reserves the right to terminate entrant’s eligibility to participate in the Giveaway. In the event that any portion of the Giveaway is compromised by technical error, virus, bugs, non-authorized human intervention or other causes beyond the control of Sponsor which, in the sole opinion of Sponsor, corrupts or impairs the administration, security, fairness or proper determination of the Giveaway, Sponsor reserves the right, in its sole discretion, to suspend or terminate the Giveaway or any part of the Giveaway, or any combination of the above. The Covered Parties are not responsible for any problem with Entries generated by computer hardware or software malfunction, error or failure, whatever the cause.
INDEMNIFICATION:
You agree to release, indemnify and hold the Covered Parties harmless from and against any and all claims, expenses (including reasonable attorneys’ fees, costs and settlement costs), damages, suits, costs, demands and/or judgments whatsoever, made by any third party due to or arising out of: (a) your improper and/or unauthorized participation in the Giveaway; (b) your breach of these Official Rules; (c) your use of any Prize, including all travel related to any Prize; and/or (d) your violation of any rights of another individual and/or entity. The provisions of this paragraph are for the benefit of the Covered Parties. Each of these individuals and entities shall have the right to assert and enforce these provisions directly against you on its own behalf.
LEGAL WARNING:
Any attempt by any individual, whether or not an entrant, to damage, destroy, tamper with or vandalize the Online Form, QR Codes and/or associated technology, or otherwise interfere with the operation of the Giveaway, is a violation of criminal and civil law and Sponsor will diligently pursue any and all remedies in this regard against any offending individual or entity to the fullest extent permissible by law and in equity.
